1. Parties, purpose and application

These Website Purchase Terms, Conditions and Privacy Policy (“Terms”) form an agreement between Property Principal Services CC, registration number 1994/038050/23, trading as Property Principal Services and/or PPServices (“PPS”, “we”, “us” or “our”), and each person or organisation that accesses the Website or buys a Product or Service (“you” or “Customer”).

These Terms govern your use of https://www.principalservices.co.za (“Website”), your online order, the delivery of Services and Digital Products, and our processing of Personal Information. They apply together with the description, price, eligibility criteria and scope displayed on the relevant product or service page at the time of purchase.

If a separately signed service agreement or written quotation conflicts with these Terms, the separately signed agreement or accepted quotation prevails for that specific Service. Mandatory rights under applicable law always prevail.

1.2 Key definitions

“Consumer” has the meaning given in applicable consumer law. “Digital Product” means a template, manual, guide, recording, downloadable document or other digital content. “Personal Information” has the meaning given in the Protection of Personal Information Act 4 of 2013 (“POPIA”). “Regulatory Authority” includes the Property Practitioners Regulatory Authority (“PPRA”), Financial Intelligence Centre, Information Regulator, CIPC, SARS and any other relevant authority. “Service” means a professional, compliance, registration, consulting, training, administrative or support service offered by PPS.

2. Acceptance and electronic contracting

By using the Website, you agree to the website-use provisions of these Terms. By ticking the acceptance checkbox and submitting an order, you confirm that you have had an opportunity to read and store these Terms and agree to the purchase provisions that apply to your order.

Your electronic acceptance, order record and related communications may be retained as evidence of the transaction. Before submitting an order, you must check the selected Service, Customer details, price and supporting information. The Website should allow you to identify and correct input errors before payment.

If you place an order for an organisation, you warrant that you are authorised to bind that organisation. You must be at least 18 years old and legally capable of entering into the transaction.

3. Services, scope and Customer responsibility

PPS provides professional compliance, registration, consulting, training and support services to the South African property industry. Services may include PPRA registrations, agency and individual compliance, stand-in principal services, education assistance, compliance documentation, managing-agent and developer registration, trust-account exemption assistance, regulatory support and professional consulting.

The exact deliverables are limited to the scope stated on the relevant product page, quotation or service agreement. A purchase does not include work, statutory charges or third-party services that are not expressly listed.

Before purchase, you must:

  • read the full Service description, inclusions, exclusions and eligibility requirements;
  • ensure that the selected Service is suitable for your circumstances;
  • ask PPS for guidance before paying if you are uncertain which Service is required; and
  • provide complete, accurate, current and lawful information and documents.

You remain responsible for your business decisions, legal and regulatory obligations, internal records, deadlines and the accuracy of information supplied. PPS is not responsible for consequences caused by incomplete, inaccurate, fraudulent or late information supplied by you or on your behalf.

4. Orders and acceptance

An order submitted through the Website is an offer to purchase. An automated receipt confirms that the order was received; it does not by itself confirm acceptance.

Unless otherwise agreed in writing, PPS accepts an order only after payment has cleared, PPS has confirmed acceptance, the Customer satisfies applicable eligibility requirements, and all documents reasonably required to begin have been received. PPS may decline or cancel an order before acceptance and will refund amounts received for work not undertaken.

If PPS discovers that the Service purchased is unsuitable, PPS will contact you to discuss a suitable alternative, additional scope or cancellation. No additional fee will be charged without your agreement.

5. Prices, statutory fees and payment

Prices are stated in South African rand. The total price payable to PPS, including any applicable taxes, will be shown before you submit the order. Unless the product page expressly states otherwise, PPS service fees exclude PPRA fees, government charges, third-party platform fees, professional disbursements and other statutory or external costs.

You must pay using an available checkout method. Services generally begin only after cleared payment. If a third-party fee becomes necessary, PPS will explain it and obtain payment or authority before incurring it, unless the accepted scope clearly states otherwise.

PPS may change future prices without notice. A price change does not alter an order already accepted, except where the Customer later authorises additional or changed work.

6. Commencement, cooperation and delivery

When you authorise immediate commencement, PPS may begin after acceptance by opening a file, reserving capacity, allocating staff, reviewing documents, giving advice, preparing documents or starting a regulatory process. Your request for immediate commencement does not waive a statutory right that cannot lawfully be waived.

Services and Digital Products are generally delivered electronically by email, secure sharing, online consultation, download or electronic submission. Any stated turnaround time is an estimate unless expressly guaranteed in writing. It is measured from acceptance and receipt of all required information, not merely from payment.

PPS may pause work while information, approval or payment is outstanding. You are responsible for promptly reviewing requests, drafts and submissions. PPS is not responsible for a missed deadline, penalty or delay to the extent caused by your delay, a Regulatory Authority, a third-party system or circumstances beyond PPS’s reasonable control.
